5. Client Responsibilities

Delays in providing required information, access, approvals, payments, materials, or feedback may delay the project timeline.

You are responsible for ensuring that the materials and information you provide are accurate, lawful, appropriately licensed, and do not violate another person’s intellectual property, privacy, publicity, contractual, or other rights.

You are also responsible for maintaining secure passwords and limiting access to accounts and systems under your control.

6. Payments, Fees, and Refunds

Payment terms will be stated in the applicable invoice, proposal, agreement, or statement of work.

Depending on the project, Danson Solutions LLC may require:

• An upfront deposit
• Milestone payments
• Monthly retainers
• Recurring subscription payments
• Final payment before launch, transfer, or delivery
• Payment for third-party software, hosting, advertising, licenses, or services

Late or incomplete payments may result in project delays, suspension of services, withholding of deliverables, cancellation of recurring services, or termination of the project.

Except where required by applicable law or otherwise agreed in writing, fees paid for completed work, reserved project time, consulting, strategy, setup, design, development, marketing, automation, or third-party costs are generally non-refundable.

Any approved refund will be governed by the applicable proposal, agreement, invoice, and payment-provider rules.

7. Third-Party Tools and Platforms

Our website and services may use or integrate with third-party tools and platforms, including:

8. Artificial Intelligence and Automation

Danson Solutions LLC may help clients implement AI tools, automation systems, chatbots, content workflows, data processing systems, or AI-assisted business processes.

Artificial intelligence systems may produce inaccurate, incomplete, outdated, biased, misleading, or inappropriate results.

Clients are responsible for reviewing and approving AI-generated content, messages, recommendations, code, decisions, and other outputs before using them publicly or relying on them for business purposes.

We do not guarantee that AI-generated content or automated outputs will be error-free, legally compliant, appropriate for every audience, or suitable for every use case.

AI systems should not be used as the sole basis for decisions involving legal rights, employment, credit, housing, healthcare, insurance, finance, education, immigration, safety, or other regulated or high-impact matters without appropriate human review and qualified professional advice.

Clients are responsible for ensuring that their use of AI and automation complies with applicable laws, industry requirements, privacy obligations, and platform policies.

9. Marketing, SEO, Advertising, and Lead Generation

Danson Solutions LLC may provide marketing, search engine optimization, advertising, content, social media, and lead generation services.

We may work to improve visibility, traffic, inquiries, leads, conversions, and business performance, but we do not guarantee:

• First-page search engine rankings
• A specific search engine position
• A fixed number or quality of leads
• A specific cost per lead or acquisition
• A specific return on advertising spend
• A specific increase in sales or revenue
• Approval by an advertising, social media, or search platform
• Continuous or uninterrupted campaign performance
• Permanent rankings, traffic, or results

Marketing outcomes depend on factors outside our control, including competition, market conditions, location, budget, offer quality, website quality, customer reviews, sales follow-up, platform policies, and algorithm changes.

Clients are responsible for ensuring that their products, services, claims, promotions, advertisements, and customer communications comply with applicable laws and platform requirements.

10. Website Launch, Maintenance, Hosting, and Security

If we build or manage a website or application, we may provide launch assistance, hosting support, maintenance, plugin updates, backups, monitoring, or security services only when included in the agreed project scope.

Unless ongoing maintenance is included in an active agreement, the client is responsible after project completion for maintaining:

• The website or application
• Software, plugins, themes, and integrations
• Hosting and domain accounts
• Passwords and user access
• Backups and restoration procedures
• Privacy, cookie, accessibility, and legal notices
• Security monitoring and updates

No website, application, server, account, or system can be guaranteed to be completely secure, uninterrupted, or error-free.

Danson Solutions LLC is not responsible for security incidents or service interruptions caused by weak or reused passwords, outdated software, unauthorized client-side changes, third-party failures, malware, compromised accounts, actions outside our reasonable control, or services not included in the agreed scope.

11. Revisions, Feedback, and Approvals

Projects may include a specific number of revisions, as stated in the applicable proposal or agreement.

A revision generally means a reasonable modification to existing work within the approved scope. A revision does not normally include:

• A complete redesign
• A new feature or integration
• A new page or application screen
• A new campaign or strategy
• A major change in project direction
• Work outside the accepted project scope

Once a client approves a design, page, feature, campaign, automation, or deliverable, further changes may require additional fees and timeline adjustments.

Client approval may be provided through email, project-management software, recorded meetings, electronic signatures, accepted proposals, or another agreed written method.

12. Intellectual Property

Unless otherwise stated in a written agreement:

• Danson Solutions LLC retains ownership of its internal tools, templates, frameworks, processes, code libraries, training methods, workflows, documentation, and business know-how.
• Clients retain ownership of their existing logos, trademarks, brand assets, business information, and materials provided to us.
• Upon full payment, clients receive the ownership or usage rights to final deliverables specifically described in their applicable agreement or proposal.
• Third-party software, fonts, photographs, videos, plugins, libraries, templates, and services remain subject to their respective licenses.

Danson Solutions LLC may reuse general knowledge, non-confidential techniques, development patterns, code components, templates, processes, automation structures, and experience gained while performing services, provided that we do not disclose protected client information.

Clients may not resell, copy, distribute, sublicense, publish, or claim ownership of Danson Solutions LLC proprietary systems, internal tools, templates, training materials, or methods unless we provide written permission.

13. Portfolio and Promotional Use

Unless prohibited by a separate written agreement or the client requests otherwise in writing, Danson Solutions LLC may display completed, publicly available work in our portfolio, website, social media, proposals, presentations, sales materials, or case studies.

This may include the client’s company name, logo, public website screenshots, project summary, and a general description of the services provided.

We will not knowingly disclose confidential business information, passwords, private documents, non-public customer data, or protected project information without authorization.

A client may request the removal of portfolio material by contacting us at [email protected]. We will review reasonable removal requests and respond within a reasonable period.

14. Confidentiality

Danson Solutions LLC and the client agree to handle confidential information responsibly and use it only for legitimate project and business purposes.

Confidential information may include:

• Business strategies and internal plans
• Login credentials and access information
• Private documents and communications
• Customer, employee, or lead information
• Financial information
• Marketing plans and campaign information
• Technical systems and software configurations
• Internal processes, workflows, and documentation

Confidentiality obligations do not apply to information that is publicly available through no wrongful act, already lawfully known, independently developed, received lawfully from another source, approved for release, or required to be disclosed by law.

Additional confidentiality requirements may be established in a separate nondisclosure agreement or service agreement.

15. No Professional Legal, Financial, Tax, or Medical Advice

Danson Solutions LLC provides technology, marketing, automation, creative, and business support services.

We do not provide legal, financial, accounting, tax, medical, insurance, investment, or regulatory advice unless expressly stated in a separate written agreement involving appropriately qualified professionals.

Website content, AI output, marketing suggestions, automation recommendations, technical information, and business ideas provided by us should not be treated as professional advice in a regulated field.

You are responsible for obtaining advice from qualified professionals when appropriate.

16. Disclaimer of Warranties

To the maximum extent permitted by applicable law, our website and any free information, audit, consultation, or resource are provided on an “as is” and “as available” basis.

To the maximum extent permitted by applicable law, our total liability for a claim relating to a paid service will not exceed the amount paid by the client to Danson Solutions LLC for the specific service giving rise to the claim during the six months immediately preceding the event, unless a separate signed agreement states otherwise.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

18. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Danson Solutions LLC and its owners, employees, contractors, affiliates, and partners from claims, losses, liabilities, damages, judgments, costs, and reasonable expenses arising from:

• The client requests unlawful, deceptive, unsafe, or unethical work
• The client or its representatives abuse our team, partners, or systems
• The project becomes unsafe, inappropriate, unlawful, or outside our capabilities
• The client violates these Terms or another applicable agreement
• Continuing the service would create a material security, legal, financial, or reputational risk

Upon termination, the client remains responsible for fees owed for completed work, approved project time, third-party costs, non-cancellable commitments, and authorized expenses.

Sections that by their nature should continue after termination—including payment, intellectual property, confidentiality, disclaimers, liability, indemnification, and governing law—will remain effective.

20. Website Content and Information

We attempt to keep information on our website accurate and current. However, we do not guarantee that all content is complete, current, accurate, or error-free.

Service descriptions, pricing, promotions, availability, timelines, team information, portfolio information, and offers may change without notice.
